The company was founded in 1981 and acquired Puritan Bennett in 1995, when the combined company was renamed Nellcor Puritan Bennett. This company was acquired in 1997 by Mallinckrodt and, in 2000, Tyco purchased Mallinckrodt. Tyco then separated Nellcor Puritan Bennett into the original two companies with separate sales forces, although they continue to share the same headquarters, R&D locations and manufacturing facilities. Currently, Nellcor is in the process of relocating its headquarters from Pleasanton to Boulder, Colorado, USA.

Nellcor is part of Covidien, a new independent, publicly-traded company which was previously Tyco International's Healthcare division. Nellcor, in conjunction with Puritan Bennett, makes up Covidien's Respiratory and Monitoring Solutions operations which are part of Covidien's Medical Devices segment.
